Centene shareholders approved changes in the company’s bylaws, including ending the terms of all current board members at the 2023 annual meeting, according to Securities and Exchange Commission filings.
Board members currently serve staggered terms. The change means each board member must be elected or reelected annually.
William Trubeck, former CFO of H&R Block, will step down from the board prior to the 2023 meeting, according to the SEC filings. Orlando Ayala and Richard Gephardt will also step down before the meeting, bringing the size of the board from 13 members to 10.
A date for the company’s 2023 meeting has not been set.
